SARL formation in Morocco

The SARL (société à responsabilité limitée) is Morocco's most widely used company form and the usual vehicle for foreign-owned subsidiaries. We draft your articles and follow the incorporation through to registration.

Short answer

Is an SARL the Moroccan equivalent of an LLC?

Broadly, yes: shareholders' liability is limited to their contributions. It is governed by Moroccan Law 5-96 and has no legal minimum capital since 2011.

Decide before drafting the articles

  • Share split and each shareholder's contribution
  • Who will be manager, with which powers
  • Rules on transferring shares to third parties (approval)
  • Corporate purpose: precise enough for registration, broad enough for growth
